    Dear Valued HP Customer,

    For many years HP and Micro Focus have had a very close working
    relationship. Customers have been able to order Micro Focus' COBOL products
    for HP-UX, and support for those products, directly from HP. The purpose of
    this letter is to advise you of impending changes that will affect how you
    obtain future licenses and support for Micro Focus COBOL products.

    Recently, HP and Micro Focus have entered into a new phase in our
    relationship. Effective May 31, 2004, HP will no longer offer the Micro
    Focus COBOL products and new support contracts, and they will be removed
    from HP price lists. These Micro Focus COBOL products will continue to be
    offered directly by Micro Focus and will be available with support
    contracts. In addition, Micro Focus has agreed to continue to support the
    HP-UX 11i roadmap with new versions of Micro Focus COBOL products. These
    products will be offered to customers under Micro Focus' standard licensing,
    maintenance and support agreement terms and pricing. With respect to
    support, HP will continue to provide its current level of support until the
    earlier of August 31, 2005 or expiration of support contracts preceding that
    date. In summary, after May 31, 2004, if you wish to purchase new licenses
    and support contracts for Micro Focus COBOL products, you should do so
    directly from Micro Focus.

    The relationship between HP and Micro Focus remains strong, and Micro Focus
    will continue to have direct access to HP technical support to permit them
    to optimize their COBOL products to take full advantage of the performance
    offered by HP-UX 11i on HP 9000 and HP Integrity servers.

    The information below details the availability and support of Micro Focus
    COBOL products directly from HP during the transition period:

    * Micro Focus products available from HP: Through May 31, 2004

    * New support contracts and renewals from HP: Through May 31, 2004

    * Service support for service contracts purchased directly from HP:
    Through August 31, 2005

    In addition to Micro Focus, other key COBOL vendors, including Acucorp and
    LegacyJ, continue to offer and support their products on HP-UX 11i. These
    vendors may be contacted as listed, below:
